LEGAL & COMMERCIAL POLICY

Terms of Service & Refund Policy

Transparent guidelines regarding custom software delivery, SaaS licensing, cancellations, data preservation, and server maintenance.

1. Scope of Services & Binding Agreement

By commissioning custom software development, subscribing to our Education ERP platforms (Schools, Colleges, Training Academies), deploying Commercial Business Management & Billing suites, or enlisting cloud server management services provided by EdugTech Solutions, the client institution, corporate organization, or individual business proprietor agrees to comply with the stipulations detailed herein.

2. Project Initiation, Cancellation & Refund Policy

Custom software engineering, cloud architecture provisioning, and enterprise ERP/web deployments require dedicated developer allocation and specialized technical resources. Therefore, our cancellation and refund settlement guidelines are strictly defined as follows:

Transparent Refund & Deduction Guidelines Financial refunds and account reconciliations are assessed strictly based on the project development lifecycle and active work completed.
  • Pre-Commencement Cancellation (100% Full Refund): If a formal written cancellation request is submitted by the client before active engineering, database modeling, and UI design work has officially started, or if EdugTech Solutions cancels the project from our end due to internal technical limitations, a 100% full refund of the received advance payment will be processed without any administrative fee deductions.
  • Mid-Project Partial Refund (Pro-Rata Work Basis): Once software development or system architecture work has commenced, a 100% full advance refund will not be granted. If the project is terminated midway by the client, the total developer days logged, design hours spent, completed milestone modules, and server allocation costs will be calculated and debited (deducted) from the advance payment. Any remaining balance will be returned as a pro-rata partial settlement.
  • Liability for Work Exceeding Advance: If the total commercial value of the technical work completed prior to cancellation exceeds the advance amount initially paid, the client shall remain legally liable to settle the remaining unpaid balance for all logged hours and deliverables.
  • Ready Cloud ERP & SaaS Deployments: Once a dedicated tenant instance, domain linkage, database schema, or administrator credentials have been provisioned for our Educational ERP or Commercial SaaS platforms, setup and onboarding fees are strictly non-refundable.

3. Yearly Renewals & 15-Day Permanent Data Purge Policy

Our cloud ERP platforms, subscription business software, and managed hosting solutions run on enterprise cloud hardware with recurring operating costs and automated database snapshot facilities. Timely annual/periodic renewal is mandatory to maintain data integrity and uninterrupted access.

Renewal Reminders, Operational Grace Window & Data Purge If the annual software license, SaaS subscription, or cloud renewal fee is not settled on or before the designated renewal due date:
  • Prior Notifications: Our billing desk will notify the client regarding the pending renewal through any one or more convenient channels, including official Email, WhatsApp, or Direct Phone Call prior to account restriction.
  • Operational Grace Period (3 to 7 Days): Following the expiration of the renewal due date, a temporary grace window of 3 to 7 business days may be granted during which the software instance remains functional to facilitate immediate payment clearance.
  • Automatic Purge After 15 Days: If the renewal settlement remains unpaid beyond 15 calendar days from the original due date, EdugTech Solutions reserves the absolute right to terminate server resources and permanently wipe the client's software instance, business ledgers, student/customer records, and database backups from our live and archival storage without further notice or liability.

4. Third-Party / Client-Owned Server Management & Free Support Suspension

Clients who host their software on their own private servers (AWS, DigitalOcean, VPS, or dedicated on-premise hardware) and hire EdugTech Solutions for server setup and periodic system administration must adhere to our maintenance billing terms:

  • Timely Management Fee Settlement: Server management, security patching, and monitoring service charges must be cleared on or before the designated monthly or annual due date.
  • No Free Support on Due Accounts: If the management invoice remains unpaid past the due date, EdugTech Solutions will strictly provide NO free support, troubleshooting, bug resolution, or server recovery in the event of any server crash, hacking attempt, database corruption, or software outage.
  • Re-activation & Restoration Charges: If support is requested after non-payment or during an outage on an overdue self-hosted server, emergency restoration and pending arrears must be fully cleared before any engineer intervention takes place.

5. Software Ownership, Source Code & Rented Licensing

Intellectual property rights, software deliverables, and source code access are strictly governed by the commercial engagement model and payment milestones:

  • No Handover Prior to 100% Payment Clearance: For all custom software, web applications, corporate websites, or proprietary systems commissioned by a client, no project files, production deployment credentials, database exports, or source code assets will be handed over until all invoices and outstanding project dues have been cleared in full (100% payment receipt). EdugTech Solutions reserves the right to retain all software deliverables and withhold administrative access until full commercial settlement is reconciled.
  • Rented / Subscription-Based Software (Zero Source Code Policy): If software, web portals, or ERP suites are provisioned under a monthly, annual, or hosted rental/SaaS subscription model, the client is granted an operational user access license only. Under no circumstances will backend source code, database architectures, proprietary libraries, or core deployment scripts be provided or transferred to the client.
  • Source Code Buyout Policy: If a client requires permanent ownership, Git repository access, and complete source code handover for internal management or independent self-hosting, the client must explicitly execute and fully pay a dedicated Source Code Intellectual Property (IP) Buyout Fee in addition to standard development fees.
  • Protection Against Unauthorized Resale & Replication: In the absence of a signed and fully paid IP Buyout Agreement, clients are strictly prohibited from copying, decompiling, reverse-engineering, modifying, or redistributing software modules, designs, or code bases to any third-party commercial entity.

6. Data Custodianship & Client Responsibilities

  • Mandatory Default Password Reset & Security Disclaimer: During initial staging, system deployment, and preliminary demonstrations, temporary or default administrative credentials (e.g., demo usernames and passwords) may be generated to facilitate project inspection. Upon official system handover or deployment, the client is strictly mandated to immediately change and update all default administrative, staff, and portal passwords to robust, secure credentials. If the client fails to change default credentials and an unauthorized party logs in, manipulates records, leaks information, or executes unauthorized data alterations, EdugTech Solutions disclaims all legal liability, damages, operational losses, or accountability resulting from such negligence.
  • Credential Management: The client remains solely and continuously responsible for safeguarding and restricting access to administrator, manager, accountant, staff, and employee login credentials across all operating devices.
  • Data Verification & Operational Accuracy: The client assumes full responsibility for reviewing and verifying the accuracy of transaction entries, invoice calculations, tax computations (GST), admission inputs, fee collection receipts, and examination grade sheets processed through the software.
  • Local Backups & Redundancy: While automated daily server snapshots are provided, client administrators are strongly advised to perform monthly exports and retain offline CSV/Excel ledger backups for independent organizational record-keeping.

7. Legal Jurisdiction & Dispute Settlement

All commercial agreements, service level obligations, and disputes arising from our software contracts shall be subject to the exclusive legal jurisdiction of the competent courts in Agartala, Tripura West.
